1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the software application operated by Gigawatt Industries Ltd ("Gigawatt", "we", "us", "our") that integrates with Intuit QuickBooks Online (the "Application"). By accessing or using the Application, you agree to be bound by these Terms.

2. Description of the Application
The Application is an internal business tool that connects to QuickBooks Online to manage invoicing, financial reporting, reconciliation, and related accounting operations.

3. Authorised use
The Application is intended for use by authorised Gigawatt personnel and in connection with company data that has been duly authorised for access. You must hold the necessary rights to connect any QuickBooks company you authorise.

4. Acceptable use
You agree not to: misuse the Application; attempt to gain unauthorised access to any system or data; reverse engineer, copy, or interfere with the Application; or use it for any unlawful purpose or in breach of any third-party rights.

5. Third-party services
The Application connects to Intuit QuickBooks Online. Your use of QuickBooks is subject to Intuit's own terms and policies. Gigawatt is not affiliated with, endorsed by, or sponsored by Intuit, and is not responsible for the availability or accuracy of third-party services.

6. Intellectual property
All intellectual property rights in the Application and its content remain the property of Gigawatt or its licensors. No rights are granted to you except as expressly set out in these Terms.

7. Disclaimer of warranties
The Application is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Application will be uninterrupted or error-free.

8. Limitation of liability
To the fullest extent permitted by law, Gigawatt shall not be liable for any indirect, incidental, special, or consequential loss, or any loss of data, profits, or revenue, arising out of or in connection with your use of the Application.

9. Termination
We may suspend or terminate access to the Application at any time. You may stop using the Application and disconnect it at any time via QuickBooks Online (Settings → Apps).

10. Changes to these Terms
We may revise these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Application after changes constitutes acceptance of the revised Terms.

11. Governing law
These Terms are governed by the laws of England & Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England & Wales.
